Credit Facility. Transocean Ltd. has no independent assets
or operations, its guarantee of debt securities of Transocean Inc. is
full and unconditional and its only other subsidiaries not owned
indirectly through Transocean Inc. are

restrictions on its ability to obtain funds from its consolidated
subsidiaries or entities accounted for under the equity method by

In
May 2009, at the annual general meeting of Transocean Ltd., our
shareholders approved and authorized our board of directors, at its
discretion, to repurchase an amount of our shares for cancellation with an
aggregate purchase price of up to CHF 3.5 billion (which is
equivalent to approximately U.S. $3.3 billion at an exchange rate as
of the close of trading on March 31, 2010 of U.S. $1.00 to
CHF 1.05). On February 12, 2010, our board of
directors authorized our management to implement the share repurchase
program. We may decide, based upon our ongoing capital
requirements, the price of our shares, regulatory and tax considerations,
cash flow generation, the relationship between our contract backlog and
our debt, general market conditions and other factors, that we should
retain cash, reduce debt, make capital investments or otherwise use cash
for general corporate purposes, and consequently, repurchase fewer or no
shares under this program. Decisions regarding the amount, if
any, and timing of any share repurchases would be made from time to time
based upon these factors. Through March 31, 2010, we have
repurchased a total of 717,000 of our shares under this share repurchase
program at a total cost of $60 million ($83.56 per
share).
