Explanatory Note.  This Current Report on Form 8-K/A is being filed pursuant to Instruction 2 to Item 5.02 of the original report on Form 8-K filed on July 18, 2018, to report information that had not been determined at the time of the original filing.

 

ITEM 5.02.  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

In connection with the appointment of Mr. Richard K. Templeton as the President and Chief Executive Officer of Texas Instruments Incorporated, he will receive an annual base salary of $1,250,000.  This base salary will be effective commencing July 16, 2018.  The remainder of Mr. Templeton’s compensation remains unchanged.
