Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On December 12, 2018, Fannie Mae’s Board of Directors accepted Egbert L. J. Perry's resignation from the Board of Directors effective December 19, 2018, following his completion of ten years of service on the Board. Absent a waiver, Federal Housing Finance Agency ("FHFA") corporate governance regulations limit service on Fannie Mae’s Board of Directors to ten years or age 72, whichever comes first. 
In connection with Mr. Perry’s departure from the Board, Jonathan Plutzik has been appointed Board Chair. Mr. Plutzik has been a Fannie Mae director since November 2009.
