     On October 14, 2008, the Company issued a press release announcing its financial results for the fourth fiscal quarter and fiscal year ended July 31, 2008. A copy of this press release is attached hereto as Exhibit 99.1 and incorporated herein by reference. The information contained in the website is not a part of this Current Report on Form 8-K.

Item 8.01. Other Events.

     On October 14, 2008, the Company issued a press release announcing that it has decided to defer its previously announced decision to close its Philadelphia plant and merge the operations and production of generator products into its plant in O’Fallon, Missouri.
